These Referral Program Terms & Conditions (the "Referral Terms") govern participation in the Oobit Referral Program (the "Program") operated by Oobit Technologies and its affiliates ("Oobit", "we", "us", or "our"). By participating in the Program — whether by sharing a referral code, signing up using a referral code, or otherwise — you agree to these Referral Terms.
These Referral Terms supplement, and form part of, the Oobit Terms of Service and Privacy Policy. Capitalized terms not defined here have the meaning given to them in the Oobit Terms of Service. In the event of a conflict between these Referral Terms and the Oobit Terms of Service in relation to the Program, these Referral Terms control.
2.1. Participation in the Program is open to Oobit users who hold an Oobit account in good standing and who comply with the Oobit Terms of Service.
2.2. The Program is void where prohibited or restricted by law. The Program is not available to users in any jurisdiction in which Oobit does not offer its services, or in which participation would be unlawful or restricted, and is subject to Oobit's standard service availability and any geographic, regulatory, or sanctions-related restrictions that apply to Oobit's services from time to time.
2.3. Participants must be of the age of majority in their jurisdiction of residence and otherwise eligible to hold an Oobit account.
2.4. To receive any monetary reward under the Program, the Inviter must have completed KYC verification to Oobit's required standard. Oobit may withhold any reward until KYC is satisfactorily completed.
2.5. Oobit employees, contractors, and personnel of Oobit's corporate affiliates may be excluded from the Program where participation would create a conflict of interest, at Oobit's discretion.
2.6. Authorized Partners. Oobit may engage Authorized Partners to promote and advertise the Program under a separate written agreement. Authorized Partners are permitted to advertise the Program and share Referral Codes through their own channels (including their own websites) in accordance with that agreement and these Referral Terms. For the avoidance of doubt, the conflict-of-interest exclusion in Section 2.5 and the sharing restrictions in Section 5.1 do not prohibit promotion or code-sharing by an Authorized Partner acting within the scope of its agreement with Oobit.
2.7. Invitee KYC. An Invitee must complete KYC verification in order to create an Oobit card and make Card Payments. An Invitee therefore cannot generate Card Payment Spend — and so cannot become a Qualified Invitee or trigger an Inviter Reward — until they are KYC-verified.
2.8. Personal use only. Except for Authorized Partners (Section 2.6), the Program is for personal, non-commercial use only — that is, sharing Referral Codes with genuine friends, family, and personal acquaintances. Using the Program for commercial purposes, or distributing Referral Codes through advertising, paid channels, or to the public at large, is not permitted unless you are an Authorized Partner. Where Oobit considers that a user is using the Program for commercial purposes, Oobit may, at its discretion, disqualify that use, require the user to enter into an Authorized Partner agreement, or exercise its rights under Section 5.
3.1. An Inviter who refers three (3) Invitees, each of whom becomes a Qualified Invitee (i.e., each reaches at least USD 200 in cumulative Card Payment Spend within the Qualifying Period), is eligible to receive an Inviter Reward of USD 50, paid in the Reward Stablecoin (USDT or USDC — see Section 3.4).
3.2. Group basis (not pro-rated). The Inviter Reward is earned only once all three Invitees in a referral group have become Qualified Invitees. The reward is not pro-rated and is not paid for one or two Qualified Invitees on their own; partial progress does not entitle the Inviter to any partial payment.
3.3. Repeatable, no cap. The Inviter Reward is repeatable with no limit. Each additional group of three Qualified Invitees entitles the Inviter to a further USD 50 in the Reward Stablecoin. Invitees are grouped in the order in which they become Qualified Invitees.
3.4. Form of reward. The Inviter Reward is paid in the Reward Stablecoin, credited to the Inviter's Oobit account, in an amount equal to USD 50 at the applicable conversion at the time of payout. The Reward Stablecoin will be USDT or USDC depending on the Inviter's jurisdiction and applicable local law — for example, where USDT is not permitted (such as in the EU), the reward is paid in USDC. Oobit is not responsible for fluctuations in the value of the Reward Stablecoin.
3.5. KYC condition. Both sides must be KYC-verified. The Inviter must be KYC-verified at the time of payout to receive the Inviter Reward (Section 2.4). Each Invitee must also be KYC-verified to create a card and make Card Payments, and therefore to generate qualifying Card Payment Spend (Section 2.7).
3.6. Timing of payout. Inviter Rewards are credited within a reasonable period after the qualifying conditions are met and verified, subject to fraud and compliance checks. Oobit may delay or withhold payment pending such checks.
3.7. Referral progress visibility. Inviters can track the progress of their invited friends within the Oobit app, including how many of their Invitees have joined and their progress toward becoming Qualified Invitees. Progress information is provided for convenience only, may be delayed or rounded, and does not itself create any entitlement to a reward; entitlement arises only when the conditions in this Section 3 are actually met and verified.
3.8. Qualifying Period. For an Invitee to count toward an Inviter Reward, that Invitee must reach the USD 200 qualifying Card Payment Spend within 60 days of redeeming the Referral Code (the "Qualifying Period"). Card Payment Spend accrued after the Qualifying Period does not count toward the Inviter Reward, and an Invitee who does not reach USD 200 within the Qualifying Period is not a Qualified Invitee for the purposes of this Section 3.
3.9. Verification and additional documents. Before paying any Inviter Reward, Oobit may require the Inviter (or an Invitee) to provide additional information or documents, including identification or source-of-funds information, within fourteen (14) days of Oobit's request. Oobit is not obliged to pay any Inviter Reward, and shall not be in breach of these Referral Terms, where such information or documents are not provided to Oobit's satisfaction within that period.
4.1. An Invitee who enters a valid Referral Code receives a waiver of Oobit card-payment fees on their first USD 500 of cumulative Card Payment Spend (the "Fee Waiver"). The Fee Waiver is time-limited: it begins when the Referral Code is redeemed and expires at the end of the Qualifying Period (60 days after redemption), whether or not the full USD 500 has been used. Any unused portion of the Fee Waiver lapses on expiry.
4.2. Code timing. The Referral Code may be entered either at sign-up or afterwards via the account settings page, but it must be entered before the Invitee's first completed Card Payment. A Referral Code cannot be entered or applied once the Invitee has made their first completed Card Payment. There is no other deadline for entering the code, but this before-first-completed-Card-Payment window is strict.
4.3. One code, one time. Each user may redeem only one Referral Code, and only once. Where a user attempts to apply more than one Referral Code, the first Referral Code that is successfully applied is the only code associated with that Invitee and the only one eligible for the Invitee Reward; any subsequently entered codes have no effect. A Referral Code can be redeemed only by a new user who did not previously hold an Oobit account, and only before their first completed Card Payment. Referral Codes cannot be combined or stacked, and a user who has already made a completed Card Payment or already redeemed a code is not eligible for the Invitee Reward.
4.4. Scope of the Fee Waiver. The Fee Waiver applies to Card Payment fees only. It does not waive fees, costs, spreads, or charges associated with swaps, withdrawals, deposits, transfers, network/gas fees, or any other transaction type. Normal card-payment fees resume automatically upon the earlier of (a) the Invitee's cumulative Card Payment Spend exceeding USD 500, or (b) expiry of the Qualifying Period (60 days after the Referral Code is redeemed).
4.5. The Fee Waiver is non-transferable, has no cash value, and cannot be exchanged, refunded, or redeemed for any other benefit.
5.1. Referral Codes may be shared only with genuine prospective users. Except for Authorized Partners acting within the scope of their agreement with Oobit (Section 2.6), Codes must not be posted on coupon, deal-aggregation, or spam sites, or distributed through misleading, deceptive, or unsolicited means (including spam or paid search).
5.2. Self-referral and abuse are prohibited. Participants may not refer themselves; create, control, or use multiple or fake accounts; collude; or otherwise manipulate the Program to obtain rewards not genuinely earned. Each Invitee must be a distinct, real individual signing up for their own genuine use of Oobit.
5.3. Card Payment Spend must arise from genuine, bona-fide transactions. Ordinary refunds and chargebacks do not remove Card Payment Spend that has already completed and counted, and do not affect a qualification or reward that has already been earned. However, where Oobit reasonably suspects fraud, abuse, or manipulation — including transactions that are not genuine or that are designed primarily to meet a Program threshold — it may disregard the related spend and withhold, reverse, or claw back any associated reward.
5.4. Invitee's own payment instrument. Each Invitee must fund their Card Payments using a card, bank account, or payment method held in their own name. Card Payment Spend funded using another person's payment instrument may be disregarded for the purposes of the Program.
5.5. Consent and conduct. An Inviter must not share a Referral Code with any person who has not indicated they wish to hear about Oobit, and must obtain any consent required to provide that person's information to Oobit in connection with the Program. Participants must not use the Program or any Referral Code in any way that is unlawful, deceptive, infringing of third-party rights, or harmful to Oobit's brand, goodwill, or reputation, including transmitting spam or malware, impersonating any person, or posting illegal, obscene, or otherwise objectionable content.
5.6. Oobit's remedies. Oobit may, at its sole discretion, withhold, reverse, claw back, or cancel any reward, and suspend or terminate a participant's involvement in the Program, where it reasonably suspects fraud, abuse, manipulation, or any breach of these Referral Terms or the Oobit Terms of Service. Oobit is the sole arbiter in cases of suspected abuse, fraud, or violation.
5.7. Set-off and clawback. Without limiting Section 5.6, where a reward has been paid that was not validly earned (including as a result of fraud, abuse, reversal of underlying transactions, or breach of these Referral Terms), Oobit may set off the amount against any current or future rewards or other amounts owed to the participant, or require the participant to refund the amount within fourteen (14) days of Oobit's request.
6.1. USD is the governing currency. All thresholds, conditions, and rewards under the Program — including the USD 200 qualifying spend, the USD 50 Inviter Reward, and the USD 500 Fee Waiver — are defined and determined in US dollars (USD). The USD amount is the authoritative figure for all eligibility and reward calculations.
6.2. Local-currency amounts are indicative only. Where Oobit displays Program amounts in your local or preferred display currency, those amounts are provided for convenience and illustration only. They are estimates converted from the governing USD amount using an exchange rate at the time of display, and may differ from the amount you actually need to spend or will actually receive.
6.3. Exchange rates change. Exchange rates fluctuate, so the local-currency equivalent of a USD amount will vary over time. For example, a USD 200 spend requirement may be displayed as one local-currency amount on one day and a different amount the next, even though the underlying requirement remains USD 200. Reaching a displayed local-currency figure does not by itself mean a USD threshold has been met if exchange rates have moved; the USD amount always governs.
6.4. How conversions are applied. For the purpose of measuring Card Payment Spend against the USD thresholds, each Card Payment is converted to USD using the exchange rate applied by Oobit at the time of settlement. The Inviter Reward is fixed at USD 50 and is paid in the Reward Stablecoin at the conversion applicable at the time of payout (Section 3.4). Any local-currency value displayed for a reward or threshold is indicative only.
6.5. Oobit may change amounts and conversion methodology. Oobit may adjust the USD threshold and reward amounts in accordance with Section 9, and the exchange rates and conversion methodology used for display and calculation may change. Changes to displayed local-currency amounts that result solely from exchange-rate movements are not changes to the Program.
7.1. Participants are solely responsible for any taxes, levies, or duties arising from their participation in the Program or from any reward received. Oobit does not provide tax advice; participants should consult their own advisors.
8.1. These Referral Terms incorporate the Oobit Privacy Policy, which governs how Oobit processes personal data collected in connection with the Program.
8.2. Where you provide Oobit with personal data about another person (for example, when inviting them), you confirm that you have a lawful basis and any necessary consent to do so, and that your collection and sharing of that data complies with applicable data-protection laws.
9.1. Oobit may modify, suspend, or terminate the Program, or any part of it (including reward amounts, thresholds, qualifying conditions, the Qualifying Period, and the form of rewards), at any time, with or without notice, to the extent permitted by law.
9.2. Changes take effect when published. Rewards already validly earned and credited before a change or termination will be honored, except where withheld or reversed under these Referral Terms (including Section 5).
9.3. Oobit's failure to enforce any provision of these Referral Terms does not constitute a waiver of that provision.
10.1. The Program is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Oobit disclaims all warranties in connection with the Program and is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Program.
10.2. Liability cap. To the maximum extent permitted by law, Oobit's total aggregate liability arising out of or in connection with the Program and these Referral Terms shall not exceed the total value of rewards paid by Oobit to you under the Program in the twelve (12) months preceding the event giving rise to the claim.
10.3. Indemnity. You will indemnify and hold harmless Oobit and its officers, employees, and corporate affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Referral Terms; (b) your fraud, wilful misconduct, or negligence; (c) your infringement of any third-party rights; (d) your breach of applicable law; or (e) any harm to Oobit's brand, goodwill, or reputation caused by your acts or omissions. This Section 10.3 survives termination.
10.4. Nothing in these Referral Terms limits any liability that cannot lawfully be limited.
11.1. Governing law. These Referral Terms are governed by and construed in accordance with the laws and jurisdiction specified in the Oobit Terms of Service, and any disputes are subject to the dispute-resolution provisions of the Oobit Terms of Service.
11.2. Entire agreement. These Referral Terms, together with the Oobit Terms of Service and Privacy Policy, constitute the entire agreement between you and Oobit regarding the Program.
11.3. Severability. If any provision of these Referral Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.
11.4. Interpretation. Oobit reserves the right to interpret and apply these Referral Terms, and to make final decisions regarding eligibility and rewards, at its sole and reasonable discretion.
11.5. Assignment. Oobit may assign or transfer its rights and obligations under these Referral Terms. You may not assign or transfer your rights or obligations under these Referral Terms without Oobit's prior written consent.
11.6. No agency or partnership. Nothing in these Referral Terms creates any employment, agency, partnership, or joint-venture relationship between you and Oobit. You are solely responsible for your own acts and omissions and for any taxes arising from your participation.
11.7. Prevailing language. These Referral Terms may be translated into other languages. In the event of any inconsistency between the English-language version and a translation, the English version prevails.
11.8. Contact. Questions about the Program may be directed to Oobit support through the Oobit app or website.
